1. Acceptance of these Terms

By accessing or using the Services, or by clicking a button or box indicating your acceptance, you agree to be bound by these Terms, our Subscription Terms (if applicable), Privacy Policy, Cookie Policy, and any additional policies incorporated by reference (collectively, the "Agreement"). If you do not agree, you must not access or use the Services.

We may update these Terms at any time by posting the revised version on this page, with a new "Last updated" date. In certain circumstances we may also notify you directly. Unless otherwise stated, changes take effect upon posting. Your continued use of the Services after changes become effective constitutes acceptance. If you object to any update, notify us within fourteen (14) days of the posting; otherwise the amended Terms will apply to you.

2. The Services

Colors of Life is an AI-driven fashion platform that delivers virtual try-ons, personalized styling guidance via Emma (our AI stylist), curated lookbooks, educational content, and community-driven experiences. Access to certain functionality may require an account and an active subscription.

3. User Accounts

3.1 Eligibility

You must be at least eighteen (18) years old, or the age of majority where you reside, and capable of entering into binding contracts. We do not knowingly collect personal data from individuals under 18.

3.2 Registration

When creating an account you must provide accurate, current, and complete information, including a valid email address and any other details requested by the sign-up flow or applicable law. We may permit sign-in via supported third-party providers. You agree to keep your information up to date.

3.3 Account Security

You are solely responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us immediately at support@colorsoflife.store of any unauthorized use. Unless expressly approved in writing, you may not sell, rent, transfer, or share account access. We reserve the right to deploy security measures (including IP monitoring) and pursue legal remedies to prevent unauthorized access.

4. Subscription, Payments, and Refunds

4.1 Subscription

Some Services are offered through automatically renewing paid subscriptions. By subscribing, you authorize us to charge the applicable fees at the start of each billing cycle until you cancel. Subscription durations, pricing, and included features are disclosed during checkout and may change over time. Promotional rates typically convert to standard pricing at renewal unless stated otherwise.

4.2 Pricing and Offers

Pricing may vary by region, currency, and promotion. We may offer introductory discounts, limited-time trials, or other incentives at our discretion. Unless explicitly stated, such offers renew at the then-current standard rate.

4.3 Payment Methods

You authorize Colors of Life and our payment processors to charge your selected payment method for all fees and applicable taxes. You consent to us sharing payment details with trusted third parties solely for processing purposes. Your card issuer may assess additional charges such as currency conversion fees.

4.4 Cancellation

Subscriptions renew automatically until cancelled. You may cancel at any time before the end of the current term by contacting support@colorsoflife.store or, where purchased through an app store, via that platform's subscription settings. Cancellation takes effect at the close of the current billing period, and you remain responsible for charges already incurred. We may suspend or terminate your subscription for non-payment, breach of these Terms, or other reasons at our discretion.

4.5 Refunds

Refunds are provided as required by law or in accordance with our posted Money-Back Guarantee (if available). For assistance, contact support@colorsoflife.store.

5. User Representations and Prohibited Conduct

5.1 Your Representations

By using the Services, you confirm that you:

have read, understood, and agree to these Terms;
are over the age of majority in your jurisdiction;
are not located in a sanctioned jurisdiction and are not a prohibited party;
have the authority to enter into this Agreement; and
will comply with all applicable laws and these Terms.

5.2 Prohibited Activities

You must not:

create duplicate or fraudulent profiles;
harass, stalk, threaten, or harm other users;
post unlawful, infringing, defamatory, or obscene content;
upload malware, spam, or unsolicited commercial communications;
interfere with or disrupt the Services or related infrastructure;
reverse engineer, decompile, or otherwise attempt to access source code;
collect data about other users without authorization;
use the Services for illegal or unauthorized purposes; or
build competing products or services using our Content or data.

We reserve the right to investigate violations, implement technological safeguards, and pursue legal remedies. We may suspend or terminate accounts engaged in prohibited conduct.

6. Communications

6.1 Electronic Communications

By using the Services, you consent to receive electronic communications from us, including notices, disclosures, and legally required information. Such communications satisfy any requirement that they be in writing.

6.2 Calls, Texts, and Push Notifications

If you provide a phone number, you consent to receiving calls, SMS messages, or push notifications from Colors of Life and our partners for operational, marketing, or support purposes. Standard messaging rates may apply. You may opt out of promotional communications as directed, though we may still send transactional or service-related messages.

6.3 Conduct Toward Support

We expect respectful communication with our support team. Abusive, offensive, or discriminatory behavior may result in account suspension or termination.

7. Privacy

Our collection, use, and disclosure of personal information is governed by the Colors of Life Privacy Policy. By using the Services, you consent to our data practices as described therein.

8. Suspension or Termination

8.1 Our Rights

We may suspend or terminate your account, subscription, or access to the Services at any time, with or without notice, if we suspect violations of these Terms, detect prolonged inactivity, encounter security issues, or for any other reason at our discretion.

8.2 Your Rights

You may terminate your account at any time by emailing support@colorsoflife.store. Termination requests are typically processed within seven business days. Sections of these Terms that by their nature should survive termination (including Sections 5–18) will continue to apply.

8.3 IP Blocking

To protect the Services, we may block access from certain IP addresses or jurisdictions, particularly those subject to sanctions or other legal restrictions.

9. Intellectual Property

9.1 Ownership

The Services, including all software, text, graphics, logos, audiovisual content, and other materials (collectively, the "Content") are owned by Colors of Life or our licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Content.

9.2 License to You

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for personal, non-commercial purposes.

9.3 License from You

By submitting content (including feedback, testimonials, or creative assets), you grant Colors of Life a worldwide, perpetual, irrevocable, royalty-free, transferable license to use, reproduce, modify, publish, and display such content in connection with operating and improving the Services. Submissions are not confidential, and we are under no obligation to compensate you.

9.4 Infringement Claims

We respect intellectual property rights. If you believe content infringes your rights, email legal@colorsoflife.ai with a detailed notice. We may remove content or terminate accounts in response to valid notices.

10. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied. To the fullest extent permitted by law, Colors of Life disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any assurances regarding availability, reliability, or accuracy. Your use of the Services is at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law, Colors of Life and its affiliates, officers, employees, agents, partners, licensors, and suppliers shall not be liable for indirect, incidental, consequential, punitive, or special damages, including loss of profits, data, goodwill, or other intangible losses arising from or related to your use of the Services. Our total liability for any claim shall not exceed the greater of (a) the fees you paid to Colors of Life in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Colors of Life and its affiliates, officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising out of or related to your violation of these Terms or your use of the Services, including content you submit or share.

13. Dispute Resolution, Arbitration, and Class Action Waiver

13.1 Initial Resolution

Most issues can be resolved quickly by contacting support@colorsoflife.store. Before initiating formal proceedings, the parties agree to attempt in good faith to resolve disputes informally for at least sixty (60) days.

13.2 Binding Arbitration

If the dispute is not resolved informally, it shall be settled exclusively by binding arbitration administered by ADR Chambers or another mutually agreed provider, conducted in Toronto, Ontario, Canada, unless both parties agree to a remote hearing. The arbitrator's decision is final and binding, and judgment may be entered in any court of competent jurisdiction.

13.3 Class Action Waiver

You and Colors of Life agree that arbitration will take place solely in your individual capacities and not as a class action or other representative proceeding. The arbitrator may not consolidate claims or preside over any form of class or representative proceeding. By agreeing to arbitration, you waive the right to a jury trial.

13.4 Opt-Out

You may opt out of this arbitration agreement within thirty (30) days of accepting these Terms by emailing legal@colorsoflife.ai with the subject "Arbitration Opt-Out" and including your full name and a statement of your intent to opt out. If you opt out, disputes will be resolved exclusively in the courts specified in Section 17.1.

13.5 Severability

If any portion of this Section 13 is deemed unenforceable, the remaining provisions remain in effect. If the class action waiver is found unenforceable, the entire arbitration agreement shall be null and void, and disputes will be resolved in accordance with Section 17.1.

14. Changes and Notices

14.1 Changes to the Agreement

We may modify these Terms by posting the updated version on the Services or by notifying you via email or other means. Unless stated otherwise, changes are effective upon posting. Continued use after changes take effect constitutes acceptance.

14.2 Assignment

We may assign our rights and obligations under these Terms at any time. You may not assign your rights or obligations without our prior written consent.

14.3 Notices

We may send notices via email, in-product messages, or by posting on the Services. Notices are deemed received when delivered or posted. Keep your account information current to ensure receipt of important communications.

15. Term

These Terms are effective when you first access the Services and remain in force until terminated. Provisions that by their nature should survive termination (including Sections 5–18) will continue to apply.

16. Electronic Signatures

By selecting "Sign Up," "Subscribe," "I Agree," "Pay," or similar buttons, you consent to the use of electronic signatures and records. Your electronic acceptance has the same legal effect as a handwritten signature.

17. Miscellaneous

17.1 Governing Law and Venue

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts of law principles. Subject to Section 13, you agree to the exclusive jurisdiction and venue of the courts located in Toronto, Ontario, Canada, and waive any objection based on improper venue or forum non conveniens.

17.2 Entire Agreement

These Terms and the policies referenced herein constitute the entire agreement between you and Colors of Life regarding the Services and supersede all prior agreements or understandings.

17.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other. Any waiver must be in writing and signed by an authorized representative.

17.4 Force Majeure

Colors of Life is not liable for delays or failures to perform caused by events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or interruptions in infrastructure.

17.5 Relationship

These Terms do not create a partnership, joint venture, employment, or agency relationship between you and Colors of Life.

17.6 Headings

Section headings are provided for convenience only and do not affect interpretation.

17.7 Language

These Terms are provided in English. Any translation is for convenience only; in case of conflict the English version controls.
